New York – Investors in ZoomInfo Technologies, Inc. (NASDAQ: GTM) who purchased securities between November 3, 2025, and May 11, 2026, have been notified of a class action lawsuit filing. The deadline for lead plaintiffs to file is August 24, 2026. The lawsuit alleges the company made materially false and misleading statements regarding its legacy seat-based subscription retention and artificial intelligence product transition.

ZoomInfo's stock price fell significantly, by approximately 33%, following the company's first quarter 2026 earnings disclosure on May 11, 2026. The shares declined from $6.04 to $4.06, representing a loss of about $1.98 per share. The complaint contends that management provided an overly optimistic portrayal of the company's performance while internal trends indicated weakening customer retention, particularly in the downmarket segment.

The lawsuit claims that ZoomInfo's shift towards consumption-based models and Data-as-a-Service solutions impacted its traditional seat-based subscription business more severely than publicly disclosed. Despite positioning itself as an "AI beneficiary," the company's emerging AI products had not yet generated sufficient revenue to offset the slowdown in its legacy business.

The company is also accused of issuing an unreliable revenue forecast for 2026, despite being aware of significant headwinds. The complaint suggests that reported improvements in retention and growth metrics were partly due to favorable comparisons against a weaker prior-year period, rather than genuine business acceleration.
