Zorro Bidco S.à r.l. has finalized its public delisting tender offer for all outstanding shares of zooplus AG, as announced by Hellman & Friedman (H&F) and EQT Private Equity on January 17, 2022. Following the offer's completion, Zorro Bidco now holds a total of 97 percent of zooplus.

At the expiry of the acceptance period on January 12, 2022, 533,875 zooplus shares had been tendered, representing approximately 7.5 percent of all outstanding shares. Combined with a previous tender offer, Zorro Bidco now controls about 97 percent of the company's share capital.

As a result of the successful closing, zooplus shares have been delisted from the Frankfurt Stock Exchange's regulated market and the XETRA trading system. Trading has also ceased on other German stock exchanges and trading venues.

Shareholders who accepted the offer will receive their cash payment within ten banking days, expected by January 31, 2022. Funding for the offer comes from funds managed by H&F and EQT Private Equity, with EQT intending to become a jointly controlling partner.
