Biotechnology company Nanobiotix announced the pricing of its global follow-on offering, raising approximately €85 million ($98.6 million) in gross proceeds.
The offering, which was oversubscribed, included American Depositary Shares (ADSs) in the United States and ordinary shares and pre-funded warrants in Europe and other countries. The shares were priced at $38.98 per ADS and €33.60 per ordinary share. The pre-funded warrants were priced at €33.57.
The proceeds are intended to fund the company's ongoing development of physics-based approaches for cancer treatment. Nanobiotix is a late-clinical stage company focused on expanding treatment possibilities for patients with cancer and other serious diseases.
Jefferies, TD Cowen, and Stifel acted as global coordinators and joint bookrunners for the offering. The transaction was priced on May 21, 2026, with an underwriting agreement signed the same day.
The company plans to use the capital to advance its research and development pipeline. The issuance was decided by the company's Executive Board without preferential subscription rights for existing shareholders, pursuant to a resolution from the May 19, 2025, shareholders' meeting. The pre-funded warrants are exercisable until May 26, 2036.
